Terms of Service

These Terms of Service ("Terms") govern access to and use of the Softlix platform at softlix.store (the "Service"), operated by Softlix, Inc. ("Softlix," "we," "us"). Placeholder terms for demonstration purposes — replace with counsel-reviewed language before offering the Service commercially. By creating an account or using the Service, you agree to these Terms.

1. Accounts

You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use.

2. The Service

Softlix provides software to synchronize inventory, orders, and fulfillment data across storefronts, marketplaces, and point-of-sale systems that you connect. You are responsible for the accuracy of the data in the systems you connect and for configuring automation rules appropriately for your business.

3. Subscription plans and billing

• Paid plans are billed monthly or annually in advance, as selected at signup.
• Free trials convert to a paid subscription only if you actively choose a plan; we do not charge you automatically at the end of a trial without your action, unless stated otherwise at signup.
• Fees are non-refundable except where required by law or expressly stated in these Terms.
• You may cancel a subscription at any time; cancellation takes effect at the end of the current billing period.

4. Acceptable use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to the Service or related systems; (c) interfere with or disrupt the integrity or performance of the Service; (d) resell or sublicense the Service without our written consent; or (e) use the Service to store or transmit infringing, defamatory, or otherwise unlawful material.

5. Connected third-party channels

The Service may connect to third-party platforms (such as storefronts, marketplaces, and point-of-sale providers) that you authorize. Your use of those platforms remains subject to their own terms, and Softlix is not responsible for their availability, accuracy, or changes to their APIs.

6. Intellectual property

Softlix retains all right, title, and interest in the Service, including its software, design, and trademarks. You retain ownership of the data you upload or sync through the Service ("Customer Data"). You grant Softlix a limited license to process Customer Data solely to provide and improve the Service.

7. Data and security

We implement reasonable technical and organizational measures to protect Customer Data, as described in our Privacy Policy. You are responsible for maintaining accurate export/backup copies of critical business data.

8. Termination

We may suspend or terminate access to the Service for breach of these Terms, non-payment, or conduct that we reasonably believe harms Softlix, other users, or third parties. You may terminate your account at any time by contacting support or through account settings.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Softlix does not guarantee the Service will be uninterrupted, error-free, or fully accurate at all times.

10. Limitation of liability

To the maximum extent permitted by law, Softlix will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from use of the Service.

11. Changes to these Terms

We may modify these Terms from time to time. Material changes will be communicated via the Service or email, and continued use after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles, unless otherwise required by applicable local law.
